General Incorporated Association Spatial Art TORAM Membership Agreement

Article 1 (Purpose)

The General Incorporated Association Spatial Arts TORAM Membership Agreement (hereinafter referred to as the "Terms") stipulates the membership fee stipulated in the Articles of Incorporation of the General Incorporated Association Spatial Arts TORAM (hereinafter referred to as the "Association") and is a member of the Association. The basic matters of the association's operation and membership activities, such as membership and withdrawal (excluding secretary members, the same shall apply hereinafter) and member privilege obligations, are stipulated.

 

Article 2 (name)

This association is called Spatial Art TORAM.

 

Article 3 (Member)

There are four types of members (excluding secretary members) specified by the Association.
(1) Regular members Individuals, corporations, groups, etc. who have applied for membership in support of the purpose of the association and have been approved for membership by the representative director (2) General members Support the purpose of the association and carry out the business of the association Corporations or organizations that have applied for membership to support and have been approved by the representative director (3) Supporting members Agree with the purpose of the association, apply for membership to cooperate with the association's business, and the representative director Local governments and other administrative agencies and their organizations approved for membership in (4) Registered members Agree with the purpose of the association, apply for membership to cooperate with the association's business, and approve the membership by the representative director Corporate or group, individual, etc.

 

Article 4 (admission application, etc.)

Anyone who intends to become a member of this association must submit a separate application form.
2. When the application set forth in the preceding paragraph is made, the representative director decides whether to approve or disapprove the membership and notifies the applicant for membership.
3 The date of payment of the membership fee stipulated in Article 6 shall be the date of admission.

 

Article 5 (Membership Criteria)

When a person who intends to become a member of this association makes an application under the preceding article, the representative director may not approve the membership if any of the following items apply.
(1) When you do not agree with the purpose of this association (2) When you have been dismissed or withdrawn due to violation of this agreement or other agreement in the past (3) Application form for membership in the preceding article If there is a false statement, clerical error, or omission in the items described in, the Board of Directors resolves that there is a risk of becoming a member when the business or product violates laws and regulations, or significantly violates social norms. (4) When the association determines that it is inappropriate

 

Article 6 Membership fee (admission fee) * Tax included

The annual membership fee for each member is as follows.
(1) Regular member

B Individual 24,000 yen (0 yen)
(B) Group 240,000 yen (10,000 yen)

C Corporate 360,000 yen (30,000 yen)

(2) General members

Admission fee

B Individual 12,000 yen (0 yen)

B Group 120,000 yen (10,000 yen)

C Corporate 240,000 yen (30,000 yen)

However, this does not apply if the representative director approves the reasons to be considered.


(3) Supporting members
B Individual 6,000 yen (0 yen)
(B) Group 60,000 yen (10,000 yen)

C Corporation 120,000 yen (30,000 yen)
However, this does not apply if the representative director approves the reasons to be considered.

 

(4) Registered member 0 yen

 

2. The representative director may reduce the annual membership fee for the first year of membership as follows.
* Monthly membership fee will be charged from the day of enrollment.
3. The annual membership fee for the first year of membership must be paid within two weeks after the membership is approved by the representative director pursuant to Article 4, Paragraph 2 and notified.
4. Annual membership fees for the year following enrollment must be paid by the day before the start of the year.
5 The annual membership fee once paid shall not be refunded for any reason.

 

Article 7 (Validity period)

The validity period of membership is from the time when the Association accepts the membership application form, approves the membership, and confirms the payment of the membership fee and membership fee stipulated in Article 6 until March 31 of the following year. Unless there is an offer to withdraw from the membership under Article 9, expulsion under Article 9, or loss of membership under Article 10, it shall be automatically renewed.

 

Article 8 (Withdrawal)

Members can voluntarily withdraw by submitting a separate withdrawal notice at least one month before the withdrawal date.

 

Article 9 (Expulsion)

When a member falls under any of the following, the member may be expelled by a resolution of the board of directors.
(1) When the Articles of Incorporation and other rules are violated (2) When the honor of the Association is damaged or the act is contrary to the purpose (3) Original commercial activities that are not related to the activities of the Association without the permission of the Association (4) When competing with the Association without permission from the Association (5) When performing an act that infringes the trademark rights owned by the Association without the permission of the Association (5) 6) When a trademark application similar to a trademark owned by the Association is filed without permission from the Association (7) When the information registered with the Association contains false information (8) The Association or interested parties of the Association On the other hand, if there is a fact that it is recognized that the association has been slandered (9) If the business activities of the association are adversely affected by obstructing the business activities of the association (10) Multi-level for other members When conducting marketing, network marketing, solicitation for other multi-level marketing transactions, solicitation for activities in religion, etc. (including all acts deemed to be these solicitations) (11) When conducting acts contrary to laws and regulations or public order and morals (12) When there are other legitimate reasons for expulsion

 

Article 10 (Loss of membership)

In addition to the case of the preceding article, a member loses his / her qualification when he / she falls under any of the following.
(1) When a person is declared dead or disappears, or when he / she is dissolved (2) When he / she becomes an adult guardian or a guardian (3) When he / she fails to pay the membership fee for 6 months or more without a justifiable reason (4) Total When the employee agrees

 

Article 11 (Benefits and obligations associated with disqualification of members)

If a member loses his / her qualification pursuant to the provisions of the preceding three Articles, he / she loses the privilege as a member to the Association and is exempted from the obligation. However, unfulfilled obligations cannot be exempted. In addition, refunds of paid admission fees, membership fees and other contributions cannot be requested.

 

Article 12 (Membership Benefits)

(1) Exhibitions and various information provided by Spatial Art TORAM (2) Participatory events and various information provided by Spatial Art TORAM (3) Admission discounts at exhibitions hosted by Spatial Art TORAM (4) Presenting souvenirs at an exhibition hosted by Spatial Art TORAM

(5) Presenting benefits to members who have introduced new members

(6) Post the company name and group name on the website of Spatial Arts TORAM * Optional (7) Discount on the exhibition fee when exhibiting at an exhibition hosted by Spatial Arts TORAM

(8) Discount on usage fees at art galleries affiliated with Spatial Art TORAM

(9) Enter the general member name at the exhibition hosted by Spatial Art TORAM * Optional

(10) Presenting an exhibition catalog sponsored by Spatial Art TORAM

(11) Exhibition of works unexamined at an exhibition sponsored by Spatial Art TORAM

(12 ) Image of work on the website of Spatial Art TORAM ”and the name of the artist 2 General members have the benefits listed in each of the following items.

However, if the proviso of Article 6, Paragraph 1 (1) is applied, the benefits that can be enjoyed may be limited.

(10) Presenting an exhibition catalog sponsored by Spatial Art TORAM

(11) Exhibition of works unexamined at an exhibition sponsored by Spatial Art TORAM

3 Supporting members have the benefits listed in each of the following items.

4 Registered members have the benefits listed in each of the following items.
(1) Providing information on exhibitions sponsored by Spatial Art TORAM

(2) Providing information on participatory events hosted by Spatial Arts TORAM

 

Article 13 (Membership Obligations)

Members have the following obligations:
(1) Follow the Articles of Incorporation of the Association and other rules and decisions.
(2) Pay the membership fee of this association.
(3) Strive to expand membership.
(4) When conducting a business with other members of the Association or with a person who has met a member through the business carried out by the Association, the member shall immediately report the report to the secretariat.
(5) When there is a change in the registered items of the member, submit a notification of change of registered items to the representative director. The Association shall not be liable for any disadvantage caused by the member not submitting the change notification.

 

Article 14 (Membership list)

The Association prepares a membership list containing the names or names of members and e-mails.

 

Article 15 (Office)

The association has its main office in Fukuoka City, Fukuoka Prefecture. In addition, the association may set up branches, etc. where necessary with the approval of the board of directors.

 

Article 16 (Addition / change of membership agreement)

Matters not stipulated in this agreement that are deemed necessary shall be determined by a resolution of the general meeting of employees.
2. The Association may change all or part of this agreement by a resolution of the general meeting of employees.
3. This agreement changed by the resolution of the general meeting of employees of this association shall come into effect when it is posted on the website of this association, and members shall be bound by the changed agreement thereafter.

 

Article 17 (Protection of Confidential Information)

The Association shall take all possible measures to protect confidential information that it has learned in the course of business.

 

Article 18 (Protection of personal information)

The Association shall take all possible measures to protect personal information that it has learned in the course of business.

 

Article 19 (Disclaimer and Compensation for Damages)

Members shall, at their own discretion, decide whether or not to use the materials, information, etc. acquired in connection with the activities of the Association, and the members or third parties suffer damage due to these. Even in such a case, the Association shall not be liable at all. In the unlikely event that the Association is liable for damages to its members, regardless of the cause, the Association will indirect damages, special damages, negligence profits, claims from third parties, and minor damages. We shall not be liable for any damages caused by negligence, with or without foresight.
2. Even after a member loses membership due to withdrawal or expulsion, the provisions of this article shall continue to be effective for that member.

 

Article 20 (Compliance with laws and regulations)

All members of the Association shall comply with the provisions of various laws, government ordinances, ministerial ordinances, etc., and shall comply with the ethical code if otherwise specified by the Association.

As mentioned above, this agreement shall be applied to all members of this association, and all members shall agree to and comply with this agreement.

Supplementary Provisions This agreement shall come into effect on October 1, 2nd year of Reiwa.
2 This membership agreement cannot be amended without the approval of the general meeting of employees.
